Global Distribution Agreement Terms

1. Grant of Rights

The client grants AI Business Builders the non-exclusive right to distribute the music and lyrics created as part of the service to digital music platforms globally, including but not limited to Spotify, Apple Music, and Amazon Music. This right allows AI Business Builders to promote, distribute, and sell the music on behalf of the client.

2. Term

The term of this agreement shall commence upon the final delivery of the music and lyrics and shall continue indefinitely unless terminated by either party with a notice period of thirty (30) days.

3. Royalties and Revenue Sharing

AI Business Builders shall collect revenues generated from the distribution of the music and will remit to the client a percentage of the net revenues received. The specific percentage will be outlined in the client’s selected service package. All payments will be made quarterly, subject to detailed sales reporting.

4. Representation and Warranties

The client represents and warrants that they have the legal right to enter into this agreement and that the content provided does not infringe upon the intellectual property rights of any third party. AI Business Builders represents and warrants that it will not alter the original content of the music without the client's explicit consent.

5. Indemnification

Both parties agree to indemnify and hold each other harmless against any claims, losses, liabilities, or expenses arising out of the breach of this agreement.

6. Territory

The territory for the distribution rights granted under this agreement is worldwide.

7. Miscellaneous

This agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments or modifications to this agreement must be made in writing and signed by both parties.
